Before You Negotiate

An overview of issues an entrepreneur should address, or be prepared to address, before negotiating with outside investors. Topics to be covered will include: understanding commonly negotiated terms and the position/concerns of the investor, legal counsel – friend or foe, be prepared for due diligence and its role in negotiations (e.g., unexpected problems that arise in due diligence can result in more negotiations, and lost time and money on both sides).
